ROKH TIPS - Non-Disclosure Agreement e durata degli impegni di riservatezza

La sottoscrizione di accordi di riservatezza (c.d. Non-Disclosure Agreement o, più comunemente, NDA) è prassi comune per la maggior parte delle aziende: la valutazione di possibili aree di collaborazione, la negoziazione di accordi commerciali, lo svolgimento di audit o di attività di due diligence è (o, comunque, dovrebbe essere) sempre preceduta dalla sottoscrizione di un accordo mediante il quale le parti si impegnano a mantenere riservate le informazioni confidenziali ricevute dall’altra parte.

Un aspetto spesso sottovaluto nell’ambito degli NDA è la c.d. clausola di “durata”, vale a dire la previsione volta a disciplinare il periodo temporale entro cui le parti saranno tenute a mantenere la riservatezza delle informazioni ricevute. In altri termini, una volta ricevuta l’informazione, per quanto tempo la parte ricevente sarà tenuta ad osservare gli impegni di confidenzialità previsti dall’NDA?

Ciò è naturalmente rimesso all’autonomia negoziale delle parti, che potranno disciplinare la “durata” di comune accordo. Nella prassi contrattuale si registrano, comunque, due variabili fondamentali:
(i) durata fissa, per cui trascorso un termine temporale definito (ad es., 1, 3 o 5 anni), le parti saranno libere dai vincoli di confidenzialità; o
(ii) durata indeterminata (ma determinabile), per cui le parti saranno vincolate a confidenzialità fintantoché l’informazione non sia caduta in pubblico dominio o mantenga le caratteristiche di un segreto commerciale.

Entrambe le opzioni solo valide: è tuttavia opportuno che, prima di concordare la clausola di “durata” e sottoscrivere l’NDA, le parti svolgano una prudente analisi interna circa le informazioni confidenziali che ragionevolmente si aspettano di condividere. Sarebbe quindi consigliabile non adottare un template “standard” per tutte i casi, ma prevedere sistemi che consentano all’azienda di utilizzare il modello più adatto all’esigenza concreta.

Ad es., nel caso di informazioni aventi ad oggetto condizioni economiche o le specifiche di un’offerta commerciale, è ragionevole che – trascorso un determinato lasso di tempo – la loro eventuale diffusione non comporterebbe un rischio per il business; pertanto, l’assunzione di un impegno indeterminato risulterebbe irragionevolmente oneroso per le parti.

Al contrario, ove le informazioni attengano ad elementi o processi industriali chiave per il posizionamento dell’azienda sul mercato (processi di produzione, specifiche tecniche delle materie prime, risultati di attività di R&D etc.), è importante che l’impegno di confidenzialità permanga senza un termine predeterminato; in caso contrario, c’è anche il rischio che, trascorso tale termine, la tutela dell’informazione confidenziale sia compromessa per perdita delle caratteristiche del segreto commerciale (cfr. artt. 98-99 del Codice della Proprietà Industriale) e che l’azienda possa perdere il vantaggio competitivo che ne deriva.
