ROKH TIPS - Contratti di vendita internazionale – Scelta della legge regolatrice

Nell’ambito della contrattualistica internazionale riveste particolare importanza la clausola di scelta della legge applicabile. La legge regolatrice del contratto ha infatti un impatto significativo ai fini della determinazione dei reciproci diritti e obblighi delle parti, nonché dei rimedi esperibili in caso di inadempimento. Per tale ragione, la scelta della legge applicabile – come anche del foro competente – rappresenta spesso un punto negoziale critico nell’ambito della definizione di un contratto internazionale.

Un aspetto invece sovente trascurato è l’applicazione della c.d. Convenzione di Vienna (United Nations Convention on Contracts for the International Sale of Goods o “CISG”) del 11 aprile 1980, nonostante le implicazioni che tale trattato internazionale può assumere nel concreto atteggiarsi del rapporto contrattuale tra le parti in ambito di vendite internazionali.

La Convenzione di Vienna trova applicazione con riferimento ai contratti di vendita delle merci tra parti aventi la propria sede in Stati diversi, ove tali Stati abbiano aderito alla Convenzione o qualora le norme di diritto internazionale privato rimandino all'applicazione della legge di uno Stato aderente. In altri termini, il perimetro di riferimento è la larghissima parte dei contratti di vendita di beni mobili tra due parti site in paesi diversi.

La Convenzione di Vienna contiene disposizioni puntuali afferenti a tutti gli aspetti fondamentali della compravendita, dalla formazione del contratto agli obblighi ancillari a carico del venditore, dalla definizione di “conformità” dei beni fino alla determinazione dei rimedi in caso di vizio delle merci.

Occorre in tal senso sottolineare che la Convenzione di Vienna trova immediata e automatica applicazione in relazione a tutti i contratti rilevanti, a meno che le parti non stabiliscano espressamente di derogarvi. Pertanto, anche ove le parti scelgano una determinata legge applicabile ma non deroghino puntualmente alla Convenzione di Vienna, vi è il rischio che le disposizioni della Convenzione di Vienna trovino comunque applicazione, con conseguente ricaduta sostanziale sui diritti e obblighi delle parti.

Le parti potrebbero quindi trovarsi vincolati a condizioni aventi un contenuto normativo diverso da quanto ipotizzato in sede di definizione del contratto, non avendo considerato le implicazioni derivanti dalla tacita applicazione della Convenzione di Vienna.

Il consiglio è quindi di adottare una scelta consapevole della legge applicabile, considerando i rischi e le opportunità derivanti da tale scelta e, ove non siano state valutate con attenzione le implicazioni conseguenti alla possibile applicabilità della Convenzione di Vienna, derogarvi espressamente.
